LEGAL POLICY FOR MEMBERSHIPS AND E-COMMERCE MARKETPLACE

INTRODUCTION
ItsHerWay.com ("Platform", "Marketplace", "Company") is an exclusive marketplace and networking platform that promotes female entrepreneurship by enabling women-led businesses to showcase and sell their products and services. It also facilitates career women in networking and mentoring opportunities. This policy governs the rights, obligations, and responsibilities of ItsHerWay members utilizing the platform.
By becoming a member of ItsHerWay.com, you agree to abide by this legal policy,
Terms of Use, Privacy Policy, and other applicable policies.
1. MEMBERSHIP ELIGIBILITY
1.1 Membership is exclusively available to female-led business enterprises duly
registered in the UAE or in any other jurisdiction where they conduct their
operations.
1.2 Unregistered businesses may avail of a 12-month acceleration period, providing
access to networking and support services to help establish their business legally.
1.3 Career women seeking networking and mentoring opportunities may also
become members, though they are not eligible to sell products or services through
ItsHerWay.com.
2. MEMBERSHIP TYPES & TERMS
2.1 Community Membership
● Community members can access networking, mentorship, and visibility
features but cannot list or sell products/services on the marketplace unless
they meet eligibility criteria under Section 1.
● A one-time, non-refundable membership fee is applicable for activation,
providing benefits for up to 12 months.
● Community members must adhere to ethical business practices and
ItsHerWay's community guidelines.
2.2 Commerce Membership
● Commerce members can list and sell products/services via ItsHerWay.com.
● A one-time, non-refundable activation fee is required to establish an E-Store
on the platform.
● Members receive a net payout of 90% of each completed transaction.
● Payouts are subject to a 14-day clearance period following order completion.
● Sellers are responsible for VAT, corporate tax, and any other applicable taxes
in their jurisdiction.
2.3 Careers Membership
As a Careers Member, you’ll have access to the following opportunities depending on your membership offer given to you:
● One-on-One Mentorship
● Exclusive Career Development Workshops
● Bi-Annual Careers Day
● Job Placement Assistance
● Networking Opportunities
● Access to Special Programs
● Mentor Matching for Personalized Guidance
● Access to Skill-Building Programs
● Member-Only Events for Career Development and Networking
3. LISTING AND SELLING PRODUCTS/SERVICES
3.1 Members are solely responsible for ensuring that their listed products/services
comply with applicable laws and regulations.
3.2 Any misleading, false, or infringing product/service listings will result in removal
and possible membership suspension.
3.3 Orders must be fulfilled within the specified time frame; delayed or canceled
orders may result in penalties.
Restricted Products & Services:
● Illegal, fraudulent, or counterfeit items.
● Adult content or services.
● Services/products that infringe on third-party intellectual property.
● Any other items prohibited under ItsHerWay’s guidelines.
4. PAYMENT AND FEES
4.1 Commission: ItsHerWay charges a 10% commission per transaction unless otherwise agreed upon.
4.2 Order Payouts:
● Payments are processed monthly, provided the seller’s balance exceeds AED 300.
● If the payout is below AED 300, it will be carried forward to the next month.
4.3 Penalties:
● Delayed Order Fulfillment: 5% penalty per day of delay.
● Order Cancellations by Seller: 5% penalty on total payout.
4.4 Membership Fee Policy:
● Membership fees, once paid, are non-refundable under any circumstances.
● A 30-day notice period must be fulfilled before canceling a membership.
● Payouts for any sales made during the membership notice period will be
released within 90 days.
5. STORAGE AND LOGISTICS SUPPORT
5.1 ItsHerWay provides storage and logistics support for members and their products.
5.2 Charges for logistics and storage services will be billed at current prevailing rates.
5.3 Any return shipment of stored goods or stock will be fully payable by the member.
5.4 ItsHerWay holds no liability for loss or damage of any items during storage or transportation.
5.5 Any customs-related documentation for the transportation of stored or sold
items must be fulfilled by the individual member’s legal entity and representative.
5.6 Fees for any additional operations and paperwork carried out on behalf of the
member will either be deducted from payouts or must be paid in advance by the
member before proceeding with such activities.
6. MEMBER OBLIGATIONS AND NON-PERMITTED USAGE
6.1 Members must ensure ethical conduct and professionalism while engaging with
the platform and customers.
6.2 The following actions are strictly prohibited:
● Misrepresentation of identity, products, or services.
● Phishing, spamming, or solicitation outside of ItsHerWay’s ecosystem.
● Harassment or targeted abuse of other members.
● Operating multiple accounts to circumvent ItsHerWay policies.
7. TERMINATION OF MEMBERSHIP
7.1 ItsHerWay reserves the right to suspend or terminate any membership due to:
● Violations of this legal policy, terms of service, or community guidelines.
● Substandard service quality leading to repeated customer complaints.
● Any other action deemed harmful to ItsHerWay or its members.
7.2 Upon termination, members will forfeit any outstanding membership
benefits.
8. INTELLECTUAL PROPERTY RIGHTS
8.1 Members grant ItsHerWay a non-exclusive, royalty-free license to use images
and descriptions of their products/services for marketing and promotional purposes.
8.2 Members must ensure they have the right to use all content they upload to the
platform.
8.3 ItsHerWay will respond to any valid intellectual property infringement claims in
compliance with applicable laws.
